These Terms of Service ("Terms") are a binding agreement between NorfBay LLC, a California limited liability company doing business as SerpCalls("SerpCalls," "we," "us," or "our"), and the business or individual accepting these Terms ("Customer," "you," or "your"). They govern your access to and use of serpcalls.com, its dashboards, APIs, and associated services (the "Service").
By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are accepting on behalf of a business, you represent that you have authority to bind that business.
SerpCalls collects and analyzes public local-search results (Google organic results, Map Pack, and Local Service Ads), tracks keyword rankings for Customer-specified business locations, aggregates business-listing and review data, generates AI-assisted insights, and presents results through a multi-tenant dashboard. Features are described on our website and in-product; they may change from time to time.
SerpCalls is invite-only; accounts are provisioned after a paid subscription is in place. An "Organization" is your billing entity. A "Workspace" represents one business whose local SEO is being tracked. Pricing is per active workspace per month unless a written order form says otherwise. You must keep your registration information accurate and protect your credentials, session tokens, passkeys, and two-factor backup codes. Notify us immediately at security@serpcalls.com of any unauthorized access. You are responsible for all activity within your Organization.
Subscriptions are billed in advance via Stripe and auto-renew each period until cancelled from the billing portal. Cancellation takes effect at the end of the current paid period. Fees are non-refundable except as required by law. Taxes are additional and are your responsibility. If payment fails, we may suspend or terminate the account after notice; accounts past due 30 days may be closed and Customer Data deleted. We may change prices with at least 30 days' notice before the next renewal.
Customer Data means data you submit to the Service (business names, locations, keywords, branding). You retain all rights to Customer Data and grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display it solely to provide and improve the Service and to produce aggregated, de-identified analytics that cannot identify you or any individual.
Service Data means data we generate in operating the Service — SERP snapshots, ranking records, competitor observations, review aggregates, AI analyses, heuristics, scores, logs, and telemetry. Service Data is owned by SerpCalls. SERP and review data originate from public sources and are provided on an informational basis; we do not warrant accuracy, completeness, or availability.
We do not sell Customer Data. We do not use Customer Data to train third-party AI models.
You will not, and will not permit any user or third party to:
The Service, including all source code, database schemas, matching and scoring heuristics, AI prompts, visualizations, grid-analysis logic, UI, and documentation, is the exclusive property of SerpCalls and is protected by copyright, trade-secret, trademark, and other laws. Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes only. All rights not expressly granted are reserved. Violation of this section is grounds for immediate suspension and entitles us to injunctive relief without bond, damages, and attorneys' fees.
SERP data is retrieved via Oxylabs. AI insights are produced by Groq. Hosting, routing, and transactional email all run on Cloudflare. Billing is handled by Stripe. Account data is stored in Neon (managed PostgreSQL). Each provider's terms also apply when your data transits their systems. Our current list of sub-processors is available at our Privacy Policy.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. We use industry-standard safeguards including TLS in transit, encryption at rest, password hashing with HIBP screening, two-factor authentication, passkey support, and PostgreSQL row-level security to isolate each workspace. No system is perfectly secure; you are responsible for configuring access controls and role assignments within your Organization.
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms. Our Confidential Information includes the Service's architecture, source code, prompts, heuristics, pricing, and roadmap. Obligations survive for three years after termination, or indefinitely for trade secrets.
THE SERVICE AND ALL REPORTS, RANKINGS, AND AI-GENERATED OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RANKINGS, COMPETITOR, OR REVIEW DATA WILL BE ACCURATE, COMPLETE, OR CURRENT. AI-GENERATED INSIGHTS ARE NOT GUARANTEED TO BE CORRECT. YOU USE THE SERVICE AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
You will defend, indemnify, and hold SerpCalls harmless from and against any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) Customer Data; (b) your use of the Service in violation of these Terms or law; or (c) your infringement of any third party's intellectual property or privacy rights.
Either party may terminate for material breach not cured within 30 days of written notice. We may terminate or suspend immediately for breach of Sections 5 (Acceptable Use) or 8 (Confidentiality), for non-payment, for suspected fraud or abuse, or where required by law. Upon termination your right to use the Service ends; Customer Data will be deleted within 30 days except where retention is required by law or for abuse investigations. You may export data via available tools during the subscription term and during a 14-day post-termination window. Sections 4, 5, 8, 9, 10, 11, 13, and 14 survive.
We may update these Terms. Material changes will be announced by email or in-app notice at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state and federal courts located in Sonoma County, California have exclusive jurisdiction. We may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or Confidential Information, without posting bond.
These Terms, together with the Privacy Policy and any signed order form, are the entire agreement between the parties. If an order form conflicts with these Terms, the order form controls. You may not assign these Terms without our consent; we may assign freely. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remain in effect. Failure to enforce a provision is not a waiver. The parties are independent contractors.
